Born Private Username Reservation Agreement

This Born Private Username Reservation Agreement (the “Agreement”) governs your reservation of a username through the “Born Private Program” offered by Proton AG (the “Company”). By completing a purchase for a username reservation, you (the “Customer”) acknowledge that you have read, understood, and agreed to be bound by this Agreement.

1. Reservation Grant

The Company grants you a limited, non-exclusive, non-transferable, except as permitted under Clause 6, and time-bound right to reserve a specific username at the time of the purchase, for the maximum duration of fifteen (15) years (the “Reservation Period”). The reservation prevents general public registration of the username during the Reservation Period. The reservation does not constitute ownership of the username, does not create any intellectual property rights, and does not grant any permanent entitlement or proprietary interest in the username.

2. Claim Requirement and Timeline

A username reservation does not create or activate an account. In order to use a reserved username, the person entitled to the reservation (the “Authorized Claimant”) must successfully create and register an eligible account using that username by scanning the code provided on the Certificate issued at the time of purchase and entering the email address originally used to reserve the username.

If the reserved username is not claimed and activated by the Authorized Claimant within the Reservation Period, the reservation will automatically expire without refund, and the username will be released for public registration. The Company reserves the right to require identity verification and review of the Certificate prior to allowing a reserved username to be claimed or activated.

The Customer is responsible for ensuring that the email address and any other information provided during the reservation and account creation process are accurate. If incorrect or invalid information is provided, the Company cannot guarantee the ability to claim or activate the reserved username and shall not be responsible for any resulting loss of the reservation.

3. Voluntary Donation

The reservation includes a USD 1.00 (one dollar) donation, as well as any additional amount you may choose to contribute, all of which are paid in full to the Proton Fondation (the “Foundation”). All payments made in connection with the Born Private Program are voluntary contributions to the Foundation, are non-refundable and do not create contractual rights with respect to the Company’s services.

4. Application of Terms of Service.

Any account created using a reserved username shall be subject to the Terms of Service and all applicable policies of Proton AG in effect at the time of account creation. A reservation does not guarantee eligibility for any specific service tier, feature set, or product offering, and does not override the Company’s policies applicable at the time of account registration.

5. Revocation and Refusal Rights

The Company may, at its sole discretion, refuse, suspend, revoke, or cancel a reservation if the username infringes or may infringe third-party rights, violates applicable law or Company policies, is abusive, misleading, fraudulent, or constitutes impersonation, or if such action is required by legal or regulatory authorities or is necessary to protect the integrity, security, or reputation of the Company or its services.

6. Transferability and Resale

Username reservations are generally non-transferable and may not be assigned, resold, auctioned, or otherwise commercially exploited. Notwithstanding the foregoing, the Company may, in its sole discretion and upon written request, authorize a one-time transfer in limited circumstances. Any unauthorized transfer or attempted transfer may result in immediate cancellation without refund.

7. Expiration and Renewal

Unless renewed in accordance with the policies and pricing in effect at the time of renewal, the reservation will automatically expire at the end of the Reservation Period. Upon expiration, the username may be made available for public registration. The Company is not obligated to provide renewal reminders except where required by applicable law.

8. Program Changes

The Company may modify, suspend, or discontinue the Born Private Program at any time. If the program is discontinued, active reservations will remain valid for the duration already purchased unless terminated in accordance with this Agreement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, the Company and the Foundation shall not be liable for any indirect, incidental, consequential, special, reputational, or economic damages arising out of or related to the reservation, denial, revocation, cancellation, expiration, transfer refusal, failure to claim within the required timeline, or inability to create or use an account. The reservation service is provided on an “as available” basis without warranties of uninterrupted availability.

10. Privacy

The Privacy Policy and the subpolicies of the Company explain how the Company collects, uses, and protects personal data in relation to your participation in the Born Private Username Reservation Program. By participating in the program, the Customer acknowledges and agrees to the Company’s Privacy Policy and its subpolicies. This includes any information submitted to claim or activate a reserved username.

11. Modification of the Terms

Within the limits of applicable law, the Company reserves the right to review and update these Terms at any time. By participating in the Born Private Username Reservation Program, you agree to be bound by the most recent version of these Terms. It is your responsibility to review the latest Terms periodically. Any action taken to claim, activate, or otherwise use a reserved username after an update constitutes your acceptance of the revised Terms. Once a reserved username is used to create an account, the creation and use of that account will be governed exclusively by the Terms of Service and all applicable policies of Proton AG in effect at the time the account is created. The updated Terms shall govern all unclaimed reservations, claims, and any related matters under the Born Private Username Reservation Program.

12. Governing Law

To the extent permitted by applicable law, the Customer consents to the jurisdiction of the courts of the Canton of Geneva to settle any dispute or claim (including non-contractual disputes or claims) arising out of or relating in any way to these Terms or its subject matter or formation. You further agree that any such claim brought in Switzerland shall be governed in all respects by the substantive laws of Switzerland.

In case of discrepancy between the English version of these Terms and any translated version, the English version shall prevail.
